Terms of Service

Welcome to Alkaline Tools, a commercial real estate analysis platform operated by Alkaline Advisors LLC ("Company," "we," "us," or "our"). By accessing or using our platform at app.alkaline-advisors.com (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform.
1. Acceptance of Terms
By creating an account, accessing, or using the Platform, you represent that you are at least 18 years old and have the legal authority to enter into these Terms. If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Service
Alkaline Tools provides commercial real estate professionals with analytical tools for occupancy cost analysis, landlord indifference calculations, lease abstraction, asset management reporting, acquisition modeling, and related functions. Certain tools may incorporate artificial intelligence and machine learning technologies to extract, process, calculate, or summarize data.
3. Accounts and Access
You must create an account to use the Platform. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts that violate these Terms.
4. Subscriptions and Billing
Access to certain tools and features requires a paid subscription on a per-seat basis. Subscriptions are organized by suite (Broker, Acquisitions, Development, Asset Management, Lender, Fund/Portfolio) and tier (Starter, Professional, Complete). All payments are processed through Stripe. Subscription fees are billed in advance on a monthly or annual basis and are non-refundable except as required by applicable law. We reserve the right to change pricing with 30 days' notice.
5. AI-Assisted Analysis Disclaimer
Certain features of the Platform utilize artificial intelligence and machine learning technologies. While we make commercially reasonable efforts to ensure accuracy, AI-assisted outputs may contain errors, omissions, or inaccuracies. All AI-generated content is provided on an "as-is" basis without warranty. You are solely responsible for independently verifying all data, assumptions, calculations, and conclusions before relying upon them for any decision.
6. No Professional Advice
Nothing on the Platform constitutes financial, investment, legal, tax, or other professional advice. All analyses, reports, and outputs are for informational purposes only. You should consult qualified professionals before making any financial, investment, real estate, or business decision based on information obtained through the Platform.
7. Published Deals and Sharing
The Platform allows you to publish deal analyses and share them with third parties via password-protected or public links. When you publish a deal, a snapshot of the deal data is stored and made accessible to viewers. Viewers are required to provide their name and email address before viewing, and this information is logged and made available to you. You are responsible for ensuring you have the right to share any data included in published deals.
8. Intellectual Property
The Platform, including all software, tools, designs, logos, and documentation, is owned by Alkaline Advisors LLC and protected by copyright, trademark, and other intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Platform for its intended purpose. You retain ownership of the data you input into the Platform.
9. Prohibited Conduct
You agree not to: (a) reverse engineer, decompile, or disassemble any part of the Platform; (b) use the Platform to develop a competing product; (c) share your account credentials with unauthorized users; (d) upload malicious code or interfere with Platform operations; (e) scrape, crawl, or use automated means to access the Platform beyond its intended use; or (f) use the Platform in violation of any applicable law or regulation.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALKALINE ADVISORS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify, defend, and hold harmless Alkaline Advisors LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of your use of the Platform, violation of these Terms, or infringement of any third-party rights.
12. Termination
We may suspend or terminate your access to the Platform at any time for violation of these Terms or for any other reason with reasonable notice. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination shall remain in effect.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Florida.
14. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the Platform. Continued use after changes take effect constitutes acceptance of the revised Terms.
